Terms & Conditions.

These terms govern your use of Brain Canvas. Please read them — they contain important information about your rights, our obligations, and how we both agree to behave.

Binding Agreement

By creating an account, clicking "I agree," or otherwise accessing or using Brain Canvas, you agree to be legally bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you must not use the Service. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

Definitions

The following defined terms apply throughout these Terms and Conditions:

"Agreement"These Terms and Conditions, together with the Privacy Policy and any applicable Order Form or subscription confirmation.
"Brain Canvas"Brain Canvas, Inc., a company organized under the laws of the United States, and its affiliates, successors, and assigns.
"Service"The Brain Canvas web application, mobile applications, APIs, and all related products and features made available by Brain Canvas.
"User" / "you"Any individual or entity that accesses or uses the Service, including Free and paid subscribers.
"Canvas"A user-created spatial workspace within the Service containing notes, cards, files, connections, and AI-generated content.
"User Content"All text, images, files, data, and other materials you submit, upload, or create through the Service.
"AI Features"Artificial intelligence and machine learning capabilities within the Service, including AI-generated insights, summaries, and suggestions.
"Subscription"A paid or free plan granting access to the Service subject to applicable tier limits.

Eligibility

You must be at least 13 years of age (or 16 in the European Economic Area) to use the Service. By using Brain Canvas, you represent and warrant that you meet the applicable minimum age requirement and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to this Agreement, in which case "you" refers to both you individually and that entity. If you lack such authority, you may not use the Service on behalf of that entity.

Brain Canvas reserves the right to refuse service to anyone at any time, for any reason consistent with applicable law.

Accounts & Registration

To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

  • One account per person. You may not create multiple accounts to circumvent limits, bans, or quotas. Accounts are non-transferable.
  • Credential security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@braincanvas.co if you suspect unauthorized access.
  • No sharing. You may not share your account credentials with others or allow third parties to access the Service through your account, except as expressly permitted by a team or enterprise plan.
  • Accurate information. Providing false, misleading, or fraudulent registration information is grounds for immediate account termination.

Subscription Tiers & Billing

Brain Canvas offers subscription tiers with different feature sets, storage limits, and AI token quotas. Current tier details are described on our pricing page and may be updated from time to time with reasonable notice.

Exact quotas for each tier are published on our pricing page and may be updated with 30 days' notice to existing subscribers.

Billing Terms

Charges: Paid subscriptions are billed in advance on a monthly or annual cycle, as selected at checkout. All fees are in USD unless otherwise stated.

Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file.

Quota resets: AI token counters reset at the start of each monthly billing cycle. Unused tokens do not roll over.

Price changes: We will give at least 30 days' advance notice of price increases. Continued use after the effective date constitutes acceptance of the new pricing.

Refunds. All fees are non-refundable except where required by applicable law or expressly stated otherwise. If you believe a charge was made in error, contact billing@braincanvas.co within 30 days of the charge.

Taxes. Prices are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities on your purchase, excluding taxes on Brain Canvas's net income.

Free tier. The Free tier is provided as-is and may be modified or discontinued at any time with reasonable notice. Exceeding Free tier limits will restrict relevant features until usage falls within limits or you upgrade.

Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. The following conduct is strictly prohibited:

  • Uploading, transmitting, or storing content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Infringing any intellectual property rights, including uploading content you do not have the right to use or share.
  • Attempting to circumvent subscription tier limits, quota enforcement, or access controls through technical or non-technical means.
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive source code from the Service.
  • Using automated scripts, bots, crawlers, or scrapers to access the Service in an unauthorized manner or in ways that exceed reasonable personal use.
  • Reselling, sublicensing, or commercializing access to the Service without Brain Canvas's express written consent.
  • Transmitting malware, viruses, or any malicious code through the Service.
  • Using the Service to generate, distribute, or promote spam, phishing, or deceptive content.
  • Attempting to probe, scan, or test the vulnerability of any Brain Canvas system or network.
  • Impersonating Brain Canvas, its employees, other users, or any other person or entity.

Enforcement

Violation of these Acceptable Use terms may result in immediate suspension or termination of your account, without refund, and may expose you to civil or criminal liability. Brain Canvas reserves the right — but not the obligation — to monitor your use of the Service for compliance.

Your Content

Ownership. You retain full ownership of all User Content you create or upload to the Service. Brain Canvas claims no ownership rights over your canvases, notes, files, or other User Content.

License to operate the Service. By submitting User Content, you grant Brain Canvas a limited, non-exclusive, royalty-free, worldwide license to host, store, reproduce, transmit, and display your User Content solely to the extent necessary to provide and improve the Service for you. This license is limited to service delivery and does not include any right to exploit your content commercially or share it with third parties except as described in our Privacy Policy.

Your representations. You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe any third-party rights; and (c) your User Content complies with these Terms and applicable law.

Your Data is Yours

We do not claim rights to sell, license, or otherwise commercialize your User Content. You may export or delete your content at any time from within the Service.

Storage limits. User Content is subject to the storage limits of your subscription tier. Brain Canvas is not responsible for the deletion of content that exceeds applicable limits. We will provide reasonable notice before taking action on an oversize account.

Feedback. If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Brain Canvas the right to use that Feedback without restriction or compensation to you. Feedback does not include User Content.

AI Features

Brain Canvas provides AI-powered features including insight generation, content summarization, pattern recognition, and suggestions (collectively, "AI Features"). Your use of AI Features is subject to the following terms:

  • No training on your content. Brain Canvas does not use your User Content to train AI models, and will not do so without your explicit opt-in consent. AI Features are delivered using Google Cloud's Vertex AI, which processes your User Content as our data processor under the Google Cloud terms and Data Processing Addendum; under those terms, Google does not use your content to train or improve its own models. The provider may retain content for a limited period for abuse detection and to meet its legal obligations. The provider's obligations are governed by its own terms, which Brain Canvas does not control. See section 4 of our Privacy Policy.
  • AI outputs are not professional advice. AI-generated content is provided for informational and productivity purposes only. It does not constitute legal, financial, medical, or other professional advice. Do not rely on AI outputs for decisions requiring expert judgment.
  • AI outputs may be inaccurate. AI technology can produce incorrect, incomplete, or outdated information. You are solely responsible for evaluating AI outputs before acting on them.
  • Token consumption. AI Features consume tokens from your monthly quota. Quotas reset monthly per your billing cycle. Brain Canvas is not obligated to provide additional tokens beyond your tier's monthly allotment.
  • AI output ownership. AI-generated content produced in response to your prompts and canvas content belongs to you, subject to any restrictions imposed by applicable law or third-party AI provider terms.
  • Prohibited AI use. You may not use AI Features to generate content that is unlawful, harmful, deceptive, or violates these Terms. This includes generating disinformation, illegal content, content that infringes third-party rights, or content that violates our Acceptable Use policy.

Intellectual Property

Brain Canvas IP. The Service, including all software, algorithms, designs, interfaces, logos, trademarks, and documentation (excluding User Content), is the exclusive property of Brain Canvas, Inc. and its licensors, protected by intellectual property laws worldwide.

License to use the Service. Subject to your compliance with these Terms and payment of applicable fees, Brain Canvas grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes during the term of your subscription.

Restrictions. You may not: (a) copy, modify, or create derivative works of the Service; (b) use Brain Canvas trademarks without express written permission; (c) remove any proprietary notices from the Service; or (d) use the Service to build a competing product.

DMCA / Copyright Complaints. If you believe that content on the Service infringes your copyright, please send a notice compliant with the Digital Millennium Copyright Act (DMCA) to legal@braincanvas.co. We will respond promptly to valid notices.

Third-Party Services

The Service integrates with or links to third-party services, including AI model providers, cloud infrastructure, and analytics tools. These integrations are subject to the terms and privacy policies of those third parties — see section 06 of our Privacy Policy for the current list of who receives what.

  • Brain Canvas is not responsible for the availability, accuracy, or content of any third-party service.
  • Your use of third-party services accessed through or in connection with Brain Canvas is at your own risk and governed by the applicable third-party terms.
  • We may change or discontinue third-party integrations at any time without notice, though we will endeavor to notify you of material changes that affect core functionality.

Disclaimers

Important Legal Notice

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. BRAIN CANVAS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Brain Canvas makes no warranties regarding the accuracy, reliability, or completeness of AI-generated content. AI outputs are probabilistic in nature and may contain errors, hallucinations, or outdated information.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

Important Legal Notice

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRAIN CANVAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Brain Canvas's total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to Brain Canvas in the twelve (12) months preceding the claim; or (b) one hundred US dollars (USD $100).

The limitations above apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Brain Canvas has been advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so they may not apply to you in full.

Indemnification

You agree to defend, indemnify, and hold harmless Brain Canvas, Inc. and its officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your User Content or your use of the Service in a manner not authorized by these Terms.
  • Your infringement of any third-party intellectual property, privacy, or other rights.
  • Any misrepresentation made by you in connection with the Service.

Brain Canvas reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, in which case you agree to cooperate with our defense.

Term & Termination

Term. This Agreement is effective from the date you first use the Service and continues until terminated by you or Brain Canvas.

Termination by you. You may cancel your subscription at any time through your account settings or by contacting support@braincanvas.co. Cancellation takes effect at the end of the current billing period; you retain access until then. No refund is issued for the remaining portion of the period.

Termination or suspension by Brain Canvas. Brain Canvas may suspend or terminate your account at any time for any of the following reasons:

  • Violation of these Terms, including Acceptable Use policies.
  • Non-payment of fees after reasonable notice.
  • Conduct that harms other users, third parties, or Brain Canvas's reputation or systems.
  • A requirement under applicable law or a court order.

Effect of termination. Upon termination: (a) your license to use the Service immediately ceases; (b) we may delete your account data after the applicable retention period described in our Privacy Policy; (c) outstanding payment obligations survive termination; (d) all provisions of these Terms that by their nature should survive will survive, including IP rights, disclaimers, and dispute resolution.

Data export. You are encouraged to export your User Content before requesting account deletion. We will retain your data for 30 days after account deletion to allow recovery, then permanently delete it.

Dispute Resolution

Governing law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

Informal resolution first. Before initiating formal proceedings, you agree to contact Brain Canvas at legal@braincanvas.co and give us 30 days to attempt to resolve the dispute informally. Most concerns can be resolved quickly this way.

Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Delaware. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

Class Action Waiver

YOU AND BRAIN CANVAS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. If this waiver is found unenforceable, the entire arbitration provision shall be null and void.

Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims relating to intellectual property infringement may be brought in court without first pursuing arbitration.

EU/UK users. If you are located in the European Union or United Kingdom, mandatory consumer protection laws of your country of residence may apply and grant you rights that cannot be contractually waived. Nothing in these Terms limits those statutory rights.

General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Brain Canvas regarding the Service and supersede all prior agreements.
  • Amendments. Brain Canvas may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • Waiver. Brain Canvas's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without Brain Canvas's prior written consent. Brain Canvas may assign its rights freely, including in connection with a merger or acquisition.
  • Force Majeure. Brain Canvas is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, war, terrorism, riots, government action, or internet outages.
  • Notices. Legal notices to Brain Canvas must be sent to legal@braincanvas.co or by certified mail to Brain Canvas, Inc.'s registered address. We will send notices to the email address on your account.
  • No third-party beneficiaries. These Terms do not confer any rights on any third party unless expressly stated.
